What needs to be done to reinstate a company in New Hampshire?
To reinstate your New Hampshire entity within 120 days you need to file Reinstatement form with New Hampshire Department of State and pay any fees, missing annual reports and penalties.
To reinstate your New Hampshire entity within 3 years you first need to obtain tax clearance (corporations) or statement of good standing (LLCs) from the Department of Revenue Administration, and then file it with New Hampshire Department of State together with Reinstatement form and any fees, missing annual reports and penalties.
To reinstate your New Hampshire entity after 3 years you first need to obtain statements of good standing from the New Hampshire Department of Revenue Administration (NH DRA) and the New Hampshire Department of Employment Security (NH DES). Then you need to prepare Application for Late Reinstatement and submit it with the clearances, annual reports and fees to New Hampshire Department of State.
If New Hampshire Department of State accepts your application they will schedule a public hearing regarding the late reinstatement for either April 1 or September 1 depending on when you submit your application. Your hearing will be at least a month after you submit the application for late reinstatement. If the secretary of state and attorney general determine you should be reinstated, New Hampshire Department of State will cancel the dissolution and issue a notice of reinstatement. and then file it with New Hampshire Department of State together with Reinstatement form and any fees, missing annual reports and penalties.
