Which law applies for a DE company operating in CA?

I have a quick answer for you: if it's an internal company matter either states' law may be applicable depending on the specific issue. If it's a non internal company matter, most likely California law is applicable.

Whether it is an internal company matter is defined in Operating Agreement (for LLCs) or in Bylaws (for Corporations).
