LLC, working remotely, register in Delaware

Hello,

Thank you in advance for your help with this question.

If working remotely, would you recommend registering an LLC in Delaware? Are there any consequences if living out-of-state?

My business is going to allow me to work remotely from anywhere. The work is similar to consulting, whereby all that is needed is a phone line and possibly an internet connection. Currently working on a website and debating in which state to register the business as an LLC.

Many friends and family suggest registering in Delaware, but at the moment I am living in California. As you already know, California has a high annual franchise tax ($800). Clearly would prefer to pay Delaware’s $250. However, will this be a problem in the future. Again, my business will mainly consist of just me, a phone, an internet connection, and my clients.

Also, have considered paying an accounting firm in Delaware to handle the LLC’s paperwork and mailings, if necessary. If that makes any difference.

Dear Mila,

We had several questions of similar nature, and I would like to refer you to a selection of answers, so that you get a better idea of how to organize the business given your circumstances (btw, keep in mind that Wyoming is another popular incorporation destination, alongside Delaware and Nevada):

1) Wyoming web based LLC with Oregon addresses.

2) Live in IL, registering a new business.

3) Can we operate in NJ with a corp. in Nevada?
