Foreign citizen forming LLC in Arizona

https://d25eic0jctudgb.cloudfront.net/images/site/avatars/default.png-f1597c1da25f30f8c1a941405e8391c8 Dear Sir or Madam,

I am a citizen of Serbia and am interested in forming a Limited Liability Company in the state of Arizona. The purpose of forming the mentioned LLC is to obtain a loan in the state of Arizona for conducting business outside of the United States. I have reviewed the general information on your website, but I was wondering if you could clear up a few further questions for me, as follows:

- Since I will be conducting business outside of the United States, in Serbia, I was wondering what the difference is whether I register the LLC as owned by myself, a natural person, or owned by my local company in Serbia, i.e. a legal entity?

- Is there a difference in tax obligations if there is only one owner/manager or several?

- Is there a difference in tax obligations if the owner is a natural person or legal entity?

- Do you provide a Statutory Agent service for as long as necessary, and at what cost?

- I possess a Social Security Number because I have been previously legally employed in the United States, so I was wondering whether this makes any difference or provides any advantage between obtaining a Domestic EIN or International EIN, once again regarding the company??™s registration and/or tax obligations.

- Can you provide me with assistance regarding the Statute, Operating Agreement, a Company seal/stamp, and/or any other legal/consulting services?

- What would be the total price for the full non-resident package, and what services does it include?

- What would be your annual maintenance fee, and what services does it include? Thank you very much for your time, I hope to hear from you soon.

Sincerely, Slobodan

I broke down your questions and answered them the best I could.

1. Since I will be conducting business outside of the United States, in Serbia, I was wondering what the difference is whether I register the LLC as owned by myself, a natural person, or owned by my local company in Serbia, i.e. a legal entity?

Technically as far as the state is concerned there is not much of a difference. As far as registering for EIN it would be easier if you owned the US company as a person simply because we will use your SSN to get the EIN (otherwise it would be necessary to get EIN for your Serbian company first and then get EIN for the US company).

2. Is there a difference in tax obligations if there is only one owner/manager or several?

As far as we know there could be some minor technical differences in the way single-owner and multiple-owner entities are taxed, but this is a question to be addressed to a tax specialist. Unfortunately we do not provide tax advise.

3. Is there a difference in tax obligations if the owner is a natural person or legal entity?

As I mentioned earlier if the US company is owned by an entity this entity has to have its own tax ID (EIN, SSN, ITIN etc). As far as tax liability goes there should b no difference.

4. Do you provide a Statutory Agent service for as long as necessary, and at what cost?

Yes, we provide a Registered Agent service. The initial set-up and first year costs $99, and after the first year you will be able to choose single to long term service (the more years you sign up for, the more you save over the duration of service. For example, after the initial first year at $99, if you wanted to extend the service for 5 years, you would pay $395 up front, saving you $125 over the duration). Click this link to see the price-per-year costs for the Registered Agent service: http://www.myusacorporation.com/registered-agent.html

5. I possess a Social Security Number because I have been previously legally employed in the United States, so I was wondering whether this makes any difference or provides any advantage between obtaining a Domestic EIN or International EIN, once again regarding the company??™s registration and/or tax obligations.

If you own the US company directly it would make it easier to obtain the EIN for your company and you can in principle use that SSN to report the income you receive fromt hat company on your personal tax return.

6. Can you provide me with assistance regarding the Statute, Operating Agreement, a Company seal/stamp, and/or any other legal/consulting services?

Unfortunately, our company, while professionally assisting international incorporations with the respective state and local governments, we are not licensed attorneys and do not handle Operating Agreements or legal consulting. We do have discounts and referrals to the respective professionals who do handle those matters.

With that being said if you order our Kit & Seal we will provide you with templates that you can use to create your own Operating Agreement. Also, we have partnered with MyLLCAgreement.com to provide our clients with a discount for their customizable Operating Agreements (please let me know if you would like to get a coupon).

We are able to help with the company seal, which is listed on the itemized lists in the package as the Kit & Seal

7. What would be the total price for the full non-resident package, and what services does it include?

There are a few variables that would alter the cost a bit, so to be simple, let's start with the basics you will need to have your business registered and able to conduct business actively and functionally.

- Arizona state filing fee (LLC) - $50
- Order processing (our fee) - $39
- Employer Identification Number (EIN) - $39
- Registered Agent (set-up plus first year) - $99
- Complete Publications package - $299 (It is required by Arizona state law to publish your company's formation and details in a local newspaper in the county of the Rwegistered Agent's address. The newspaper is decided by the County Clerk upon the business formation, then filed with an affidavit, which we take care of everything)
- Kit & Seal (plus international shipping) - $169
- Certified Copy of the Articles of Organization with Apostille - $79 (This is so you can open the company bank account in your home country).
- International shipping (priority USPS mail) - $50
-----------------
Total - $824

As mentioned, there are a few factors that would alter the price, such as an Arizona state sales tax id# (if needed, depending on the type of business your company would be conducting), along with expedite options for faster processing, faster filing on the state level and other shipping options. You can view the complete itemized list of services by clicking this link: form LLC in Arizona

8. What would be your annual maintenance fee, and what services does it include?

The only annual fee you will have to worry about through us would be the Registered Agent, as previously mentioned with the costs and durations. The state of Arizona does not have an Annual Report fee for LLC's.

I hope this information has been of some assistance. If you have any other questions, please do not hesitate to ask. :)
