Foreign citizen forming LLC in Arizona

Dear Sir or Madam,

I am a citizen of Serbia and am interested in forming a Limited Liability Company in the state of Arizona. The purpose of forming the mentioned LLC is to obtain a loan in the state of Arizona for conducting business outside of the United States. I have reviewed the general information on your website, but I was wondering if you could clear up a few further questions for me, as follows:

– Since I will be conducting business outside of the United States, in Serbia, I was wondering what the difference is whether I register the LLC as owned by myself, a natural person, or owned by my local company in Serbia, i.e. a legal entity?

– Is there a difference in tax obligations if there is only one owner/manager or several?

– Is there a difference in tax obligations if the owner is a natural person or legal entity?

– Do you provide a Statutory Agent service for as long as necessary, and at what cost?

– I possess a Social Security Number because I have been previously legally employed in the United States, so I was wondering whether this makes any difference or provides any advantage between obtaining a Domestic EIN or International EIN, once again regarding the company??™s registration and/or tax obligations.

– Can you provide me with assistance regarding the Statute, Operating Agreement, a Company seal/stamp, and/or any other legal/consulting services?

I broke down your questions and answered them the best I could.

1. Since I will be conducting business outside of the United States, in Serbia, I was wondering what the difference is whether I register the LLC as owned by myself, a natural person, or owned by my local company in Serbia, i.e. a legal entity?

Technically as far as the state is concerned there is not much of a difference. As far as registering for EIN it would be easier if you owned the US company as a person simply because we will use your SSN to get the EIN (otherwise it would be necessary to get EIN for your Serbian company first and then get EIN for the US company).

2. Is there a difference in tax obligations if there is only one owner/manager or several?

As far as we know there could be some minor technical differences in the way single-owner and multiple-owner entities are taxed, but this is a question to be addressed to a tax specialist. Unfortunately we do not provide tax advise.

3. Is there a difference in tax obligations if the owner is a natural person or legal entity?

As I mentioned earlier if the US company is owned by an entity this entity has to have its own tax ID (EIN, SSN, ITIN etc). As far as tax liability goes there should b no difference.

4. Do you provide a Statutory Agent service for as long as necessary, and at what cost?

If you own the US company directly it would make it easier to obtain the EIN for your company and you can in principle use that SSN to report the income you receive fromt hat company on your personal tax return.
