Fees & Taxes for NJ Foreign Entity

Asked by: Olga  — 5 June, 2012

What annual fees and taxes am I looking at if I would like to register a foreign business entity in New Jersey?

Olga,

The state of New Jersey requires foreign companies (LLCs, Corporations, etc) to file an annual report, which is due on the anniversary of the Foreign Entity filing date. The fee is $50, and is the same fee for LLC’s and Corporations.

If your business is an LLC, then you shouldn’t have any tax obligations to the state of New Jersey, as the LLC is a pass-through entity. If you have a corporation, then your company would file it’s corporate income taxes with New Jersey state. Also, if you are selling products in the state of NJ from a physical location, you would be responsible for collecting the state sales tax on your sales and forwarding those collected taxes to the state.
