Can I open a business in Ohio and offer or sell products to wholesalers of NY state without opening any office or warehouse in NY state?

If you do not have any physical presence in New York state, it wouldn’t be a problem at all to register your business in Ohio or any other state. If you do have an office, warehouse or physical presence in any one state in particular, then you would need to be registered in that state. Also I believe for most cases warehouse is not necessary to sell to wholesalers, although some states have requirements to have a warehouse for specific products (such as tobacco).
