Can a Series LLC be adopted by Wyoming?

Could a Series LLC form in Nevada be adopted by a state that won’t allow formations of this type, i.e. Wyoming? If so would the adopting state respect the Series LLC’s preexisting complex structure?

Dear Chandler,

Unfortunately, at this time Wyoming does not give business owners an option of registering a Series LLC or supporting one created by another state. Currently, Delaware, Illinois, Iowa, Nevada, Oklahoma, Tennessee, Texas, Utah and Wisconsin are the only states that allow formation of Series LLCs.

One work-around is forming a Series LLC in a state that has that option, like Texas, and then registering each Series as a separate “Foreign Entity” in Wyoming.
