Closing a Wyoming LLC
Asked by: clevercloggs - 30 September, 2011
I would like to know that if in the event that one chooses to close the LLC, what would this involve? Is it relatively easy to do or complicated and expensive? What should one think about if this scenario ever arises?

Dear Visitor,
The process of closing an LLC (or any other organized entity) is called company dissolution. An LLC is dissolved by filing Articles of Dissolution with the Secretary of State (or whatever authority that is responsible for recording legal entities).
Various states would require you to obtain a consent from departments departments prior to filing Articles of Dissolution. For example, if your company is a New York LLC operating in New York City and you intend to dissolve it you would first need to obtain consent from New York State Department of Taxation and Finance and New York City Commissioner of Finance, and only then file Articles of Dissolution with the Secretary of State.
Wyoming Secretary of State does not require any consents prior to dissolution.
